* Foundation owns 28.1% of shares but holds 3/4 of voting rights, giving it significant influence over the company.
* Outgoing chairman Lund says board proposed new members, but Foundation pushed for more extensive reconfiguration.
* New chairman Lars Rebien Sorensen to be appointed, he was former CEO from 2000-2016 and current chair of Novo Nordisk Foundation.
