The Ryanair boss extends his contract to 2032, in a deal featuring a bonus scheme that could earn him more than €150m (£130m).
The deal includes an option for O'Leary to buy 10 million shares at €26.70 per share if Ryanair reaches annual profit of €4 billion or the share price exceeds €42 for 28 consecutive days.
Achieving these targets would create significant value for all shareholders, according to a statement from the airline.
Chairman Stan McCarthy said discussions on O'Leary's contract began in spring with extensive engagement with large shareholders.
O'Leary is set to remain at Ryanair until April 2032.
